About Us and Legal Consultations

What types of legal matters do you focus on?

Our work is organised around corporate and commercial matters, international business, dispute resolution, property, employment, immigration and mobility, private client matters, finance, intellectual property and technology. Many enquiries involve more than one of these fields. A company acquisition may also raise financing, employment and property questions; a cross-border contract may require analysis of governing law, jurisdiction and enforcement. We consider whether we can take on a particular matter once we understand the parties, the documents, the relevant countries and the work required.

How can I contact you about a legal matter?

Please email us at info@smartlawafab.com. Carl-Johan Lennart Kaj Vahlén is our principal contact. A concise initial email allows us to understand the nature of the matter and identify the parties before we consider any substantive documents. Sending an enquiry does not by itself establish an engagement. If we can consider the matter further, we agree the scope of work and other engagement terms separately.

What information should I include in my first enquiry?

Please identify the people and companies involved by their full legal names, describe the issue and the outcome you wish to achieve, and state any relevant country, deadline or pending proceeding. It helps us to know whether there is a signed agreement, working draft, corporate record, authority decision or court document. Please do not send material that you are not entitled to disclose. A focused chronology and a clear question are generally more useful at the outset than a lengthy narrative without dates or documents.

Can international clients enquire about Swedish legal matters?

Yes. Foreign businesses, investors, entrepreneurs and individuals are welcome to contact us about matters with a Swedish legal connection. Common connecting factors include a Swedish company or counterparty, performance in Sweden, Swedish property, employment or residence in Sweden, and contracts that choose Swedish law or a Swedish forum. Where an issue is governed by another country’s law, we consider with you whether locally qualified counsel should also be involved. Identifying that division early helps define which questions we can address from Sweden and which require coordination elsewhere.

How are legal fees and engagement terms established?

Fees and engagement terms depend on the nature, scope, urgency and complexity of the proposed work. No fee arrangement should be assumed from general information or from an initial enquiry. Before we begin substantive work, we identify the client, define the assignment and agree the applicable terms with you, including the basis on which fees and expenses are handled. Conflicts and any need for counsel in another jurisdiction may also affect whether and how a matter can proceed.

Business

Corporate and Commercial Law

What legal issues arise when establishing a company in Sweden?

The appropriate structure depends on the intended activity, ownership and allocation of liability. For a Swedish limited company, the Companies Act governs formation, articles of association, share capital, corporate bodies and registration. A foreign business may instead consider a branch or direct contracting from abroad, each of which has different consequences. Early legal review commonly addresses the identity of founders and owners, governance arrangements, signing authority, capital and constitutional documents. Tax, regulatory and sector-specific questions may require separate specialist consideration.

What should directors consider in Swedish corporate governance?

Directors should understand the company’s purpose, financial position, internal allocation of authority and the decisions reserved to the board or shareholders. Swedish company law regulates board responsibilities, representation, conflicts, capital protection and the formal steps required for many corporate decisions. Good governance also depends on accurate minutes, current registers and clear delegations. The analysis is fact-specific: the authority to negotiate, sign and implement a transaction may not rest with the same person, and internal restrictions may differ from what a counterparty can see publicly.

Why is a shareholder agreement important?

A shareholder agreement can regulate matters that owners wish to settle between themselves, including decision-making, funding, transfers of shares, deadlock and exit. It operates alongside the articles of association and the Companies Act; the three do not have the same legal function or bind the same people in the same way. The agreement should therefore be reviewed against the company’s constitutional documents and intended governance. Particular care is needed where contractual vetoes, transfer restrictions or payment arrangements may conflict with mandatory company-law rules.

When should a commercial contract be reviewed or negotiated?

Review is most useful before obligations are fixed, but it can also clarify rights during performance or after a problem emerges. The principal issues commonly include the correct contracting parties, authority to sign, scope of performance, price and payment, delivery, acceptance, warranties, liability, termination, confidentiality and dispute resolution. In an international agreement, governing law, jurisdiction, currency, language and enforcement also matter. Contract review should relate those clauses to the commercial objective rather than treating each provision as isolated standard wording.

What legal work is involved in a corporate transaction or acquisition?

A transaction may involve the purchase of shares, selected assets or an operating business, and the legal consequences differ. Work commonly includes identifying the parties and authority, reviewing corporate records and material contracts, examining title and liabilities, documenting the agreed allocation of risk, and completing required corporate steps. Employment, financing, property, intellectual property, competition, tax or investment-screening issues may also arise. The appropriate due diligence and transaction documents depend on what is being acquired and which risks are material to the buyer and seller.

Cross-border

International Business and Cross-Border Matters

What should a foreign company consider before operating in Sweden?

The starting point is the legal form of the Swedish activity. A foreign company may contract into Sweden, register a branch or establish a Swedish subsidiary, with different consequences for legal identity, authority, filings and liability. The business should also consider its contracts, employment arrangements, permits, property needs and any sector-specific regulation. Registration and tax questions should be coordinated with the relevant advisers and authorities. The right structure depends on the planned activity; a Swedish address or customer relationship alone does not determine the legal form.

How is the governing law of an international contract determined?

Parties can often choose the law governing their commercial contract. Within its scope, the Rome I Regulation generally gives effect to that choice while preserving particular mandatory rules and exclusions. If there is no effective choice, the applicable law is determined through the relevant conflict-of-laws rules and the facts of the relationship. The language of a contract, the place of signature and a party’s nationality do not independently settle the question. The governing-law clause must also be distinguished from any jurisdiction or arbitration clause.

What is the purpose of a jurisdiction clause in a cross-border agreement?

A jurisdiction clause identifies the court or courts intended to hear disputes. Its validity, scope and effect should be considered separately from the law governing the contract. For many civil and commercial matters within the European Union, Brussels I recast regulates jurisdiction and the recognition and enforcement of judgments. The instrument contains specific rules and exclusions, and protective regimes may apply to areas such as employment and consumer contracts. Clear drafting reduces uncertainty over where proceedings should begin, but the clause still has to be read in its legal context.

What legal questions arise in an international investment in Sweden?

The legal analysis begins with what is being acquired or funded: shares, assets, land, contractual rights or a new Swedish vehicle. Relevant questions may include ownership and authority, transaction structure, due diligence, financing, governing law, permits and public-law restrictions. Certain investments can also engage Swedish foreign direct investment screening or sector-specific rules, which require current legal assessment. A private acquisition agreement does not replace required regulatory review. The scope of work should therefore be defined early and coordinated with tax, regulatory and other specialist advice where needed.

How are legal questions involving several countries coordinated?

The first step is to separate the issues and identify which legal system governs each one. A transaction may involve Swedish company law, a contract governed by another law, assets in a third country and a forum elsewhere. Those connections do not necessarily produce one governing law for the entire matter. We organise the Swedish aspects and identify with our client where locally qualified counsel should be involved. Effective coordination depends on a shared chronology, consistent documents and a clear division of responsibility between advisers in the relevant jurisdictions.

Disputes

Dispute Resolution and Arbitration

How can a commercial dispute be resolved?

Commercial disputes may be addressed through direct negotiation, structured settlement discussions, mediation, court proceedings or arbitration. The appropriate route depends on the contract, the available remedies, the parties’ continuing relationship, urgency, cost, confidentiality and enforceability. The agreement may already prescribe a forum or a sequence of steps. Before action is taken, the claim and supporting evidence should be identified, relevant deadlines checked and the practical objective defined. A well-founded early assessment can narrow the issues even where formal proceedings are ultimately required.

What is the difference between litigation and arbitration?

Litigation takes place before a state court under public procedural rules and ordinarily offers the appeal structure provided by that system. Arbitration is based on an agreement, takes place before a private tribunal and is legally anchored in the chosen seat. It may offer procedural flexibility and cross-border enforceability, but its cost structure and limited routes of challenge differ from court proceedings. The two routes should not be treated as interchangeable. The contract, likely place of enforcement, value and complexity of the dispute all influence the comparison.

What should an arbitration agreement contain?

An arbitration agreement should clearly identify which disputes are covered and record the parties’ consent to arbitrate. In international contracts it commonly addresses the seat, any arbitral institution or rules, the number of arbitrators and the language. The seat is legally significant because it connects the proceedings to a national arbitration law and courts with supporting or supervisory functions. Inconsistent court and arbitration clauses can create delay and jurisdictional disputes. The clause should therefore be reviewed as part of the contract’s wider governing-law and dispute-resolution structure.

Can foreign judgments and arbitral awards be enforced in Sweden?

Enforcement depends on the origin and nature of the decision. Brussels I recast provides a framework for the recognition and enforcement of many civil and commercial judgments from EU Member States, subject to its scope and exceptions. Foreign arbitral awards are commonly considered under the 1958 New York Convention and Swedish arbitration law. Decisions from other states may depend on applicable treaties or Swedish rules. Before proceedings begin, it is prudent to consider where the counterparty’s assets are located and whether the resulting judgment or award can be used there.

What should a business do when a commercial dispute first arises?

Preserve the relevant agreements, correspondence, corporate records and evidence of performance. Identify the correct parties, the obligations said to have been breached, important dates and any governing-law, jurisdiction or arbitration clause. Avoid admissions, termination notices or other irreversible steps before their consequences are understood. Limitation periods, notice requirements and continuing duties may require prompt attention. A concise chronology, the key documents and a clear commercial objective allow the legal and practical options to be assessed without allowing the dispute to disrupt more of the business than necessary.

Property, Employment and Immigration

Can a foreign investor acquire Swedish real estate?

Foreign ownership is possible in many circumstances, but the transaction must be considered against the nature of the property, the buyer’s structure, financing and any applicable public-law restrictions. An investor may acquire the land directly or acquire shares in a company that owns it; these are legally different transactions. Title, existing mortgages, leases, planning matters and environmental conditions may be relevant. Investment-screening, tax and sector-specific questions can also arise and should be checked under the rules in force for the proposed acquisition.

What does legal due diligence in a Swedish property transaction cover?

The scope depends on the property and the proposed transaction. Review commonly considers registered ownership, mortgages and other recorded rights, leases, access and easements, planning and permitted use, material agreements and disclosed disputes. Environmental and technical investigations may require separate specialists. Where shares in a property-owning company are acquired, company liabilities and corporate records also matter because the buyer takes the company with its history. The findings should be related to the purchase agreement, conditions, warranties and allocation of identified risks.

What should an employment contract under Swedish law address?

An employment contract should clearly identify the employer and employee and record the role, place of work, commencement, remuneration, working time, benefits, leave, notice and any relevant confidentiality or intellectual-property terms. Swedish mandatory legislation and applicable collective agreements may supplement or override contractual wording. Fixed-term employment and post-termination restrictions require particular care. For international employment, the right to work, applicable law, social security and tax are separate questions. A contract cannot itself provide immigration status or displace mandatory employment protections.

What legal considerations arise when employment is terminated in Sweden?

Termination requires analysis of the reason, the form of employment, notice, procedural requirements and any applicable collective agreement. Swedish employment legislation distinguishes different grounds and consequences, and co-determination or negotiation obligations may arise before a decision is implemented. Documentation and timing are important. A settlement proposal, redundancy process and dismissal based on personal circumstances each raise different issues. Where the employee’s right to remain or work in Sweden depends on the employment, immigration consequences should be considered separately and without delay.

What should employers consider about work permits and residence for international employees?

The right to enter Sweden, the right to reside and the right to work are related but distinct questions. The answer depends on nationality, existing status, purpose and duration of stay, the proposed role and the employer. A job offer, company registration or board appointment does not itself establish a right to work. Employers should use current information from Migrationsverket and the legislation in force, because requirements and operational guidance change. Immigration status should be coordinated with the employment contract and intended start date.

What issues arise in cross-border family and inheritance matters?

When people, relationships or assets connect more than one country, the first questions are often jurisdiction and applicable law. Marriage property, succession, maintenance, gifts and ownership are distinct subjects and may be governed by different instruments. For succession within its scope, Regulation (EU) No 650/2012 can be central to identifying the competent authority and applicable law. The location and legal character of each asset also matter. Swedish land, shares in a company and a foreign bank account cannot be treated as legally identical parts of one estate.

How should estate planning involving several jurisdictions be approached?

Planning should begin with a complete account of nationality, habitual residence, family relationships, existing wills and agreements, and assets in each country. The legal effect and formal validity of a will may need to be considered separately from the law governing succession. Marriage-property arrangements, company ownership, tax and local administration can also affect the result. Advice may be required in each relevant jurisdiction so that documents work together rather than create conflicting instructions. The plan should be reviewed when residence, family circumstances or the asset structure changes.

What should be reviewed in a financing agreement or commercial security package?

The review should identify the borrower, lender and any guarantor, the facility and repayment terms, conditions to drawdown, representations, undertakings, events of default and enforcement provisions. Security must be considered by asset type because shares, receivables, movable property and land follow different rules for creation, priority and perfection. Corporate authority and capital-protection rules may affect guarantees or security granted for another company’s obligations. In cross-border finance, governing law, jurisdiction, currency and the location of secured assets require coordinated analysis.

How can intellectual property be protected in Sweden?

Protection depends on the subject matter. Trade marks, patents and designs may involve registration through Swedish, European or international systems, while copyright generally arises without registration when the legal requirements are met. Company names, domain names and trade marks are different rights and should not be confused. Ownership should also be documented through employment, consultancy, assignment and licence agreements. Before filing or commercial use, searches and a review of the proposed territory, owner and business purpose can help identify conflicts and select the appropriate form of protection.

What should a technology agreement or software licence cover?

The agreement should identify what is supplied and distinguish software ownership from the right to use it. Relevant terms commonly include scope and territory of the licence, users, implementation, acceptance, service levels, updates, security, data handling, support, fees, warranties, liability, subcontracting, termination and the consequences of exit. Development work should address ownership of new material and third-party components. Cross-border arrangements may also require governing-law, jurisdiction, export-control and data-protection analysis. The contract should reflect how the technology will actually be delivered and operated.

The information provided here is general in nature and is not legal advice. It does not consider any particular document or circumstance. Swedish and EU rules change, and official texts should be read in the version in force.
