Commitment

A Tradition of Legal Commitment

Legal counsel is valuable when it is independent, precise and usable. That is the standard we set for ourselves: to understand a matter as it stands, to explain the applicable law, and to help our clients decide what should be done. Our commitment is to the quality of our analysis and to the confidence with which we handle our clients’ affairs.

Companies, investors and private clients come to us with contracts, corporate records, property, employment relationships, family arrangements, deadlines and commercial risk. We meet those facts with judgment rather than formula, by reading the papers carefully, identifying the parties accurately and forming an early view of which legal system will decide each issue.

Our work has a Swedish character. Swedish law attaches importance to legal form: the company as a distinct legal person, the contract as a bargain, the public register as a source of title and authority, and the court or arbitral tribunal as the forum in which a later disagreement is resolved. Those institutions reward precision, and we hold ourselves to it, including by saying early when a question belongs to another country’s law.

Foundations

Our History and Swedish Foundations

We were incorporated in Sweden on 26 May 2003, and our registered office is in Norrtälje, north of Stockholm. From that Swedish base we are oriented toward domestic legal work and toward the international transactions, investments and personal arrangements that connect with Sweden.

Swedish law supplies the framework for our work. Company law governs how an enterprise is formed, who may bind it and how decisions are taken. Contract law governs how a bargain is made and how it fails. Property law governs how land and buildings are held and transferred. Employment, family property and succession complete a picture of commercial and private life that is often cross-border as well as domestic.

Our institutional identity is Swedish. It rests on our incorporation in 2003, our seat in Norrtälje, and a professional outlook directed to the legal questions that arise when Swedish law meets international business and private life.

Philosophy

Our Professional Philosophy

Our professional philosophy is founded on careful legal analysis, sound judgment and a practical understanding of our clients’ objectives. We aim to understand a matter before we advise on it, to set out the available options without overstating certainty, and to treat our clients’ documents, identity and commercial circumstances with discretion. For us, professional responsibility includes independence of mind, candour about risk, and a clear account of what the law does and does not decide.

Our analysis begins with the parties and the documents as they appear. We ask which rules apply, which facts are missing and which risks the papers already allocate. We distinguish a hoped-for commercial result from the clause that will actually be enforced, and we notice when another forum, another statute or counsel in another country will decide part of the question. Practical judgment then turns that reading into a way forward: further investigation, a letter, a negotiation, a formal claim, or a reasoned decision to wait.

Communication is part of the same discipline. Our clients should receive explanations they can use, not a recitation of statutory headings. We settle confidentiality in the terms of an engagement once the scope of work is clear, and we examine conflicts before work proceeds. Sound counsel makes the position intelligible and the next step realistic.

Legal Expertise and Practical Judgment

Legal expertise is useful only when it can be applied to a particular file. We organise our work around the questions that companies, investors and private clients actually bring to us.

Corporate and commercial matters

In corporate work we ask who the legal person is, who may bind it and how it is governed. In commercial work we ask what that person has agreed: price, performance, liability, delay and termination. Formation, shareholder arrangements, board authority and everyday contracts are the ordinary architecture of that advice, whether our client is establishing a Swedish company or contracting with one.

Disputes and the choice of forum

When a relationship fails, the first legal questions are often procedural as well as substantive: what the contract requires, which evidence is available, which time limits apply, and whether the dispute belongs in negotiation, a Swedish court or arbitration. The forum is frequently chosen long before the disagreement begins, and we help our clients understand that choice and its consequences.

Property, employment and private life

Land, employment, residence, family property and succession often sit beside a commercial file, and sometimes inside it. A company acquisition may include a building, a workforce or a key employee’s right to work in Sweden. We keep those subjects distinct, and bring them together only when our client’s circumstances require it.

Outlook

An International Perspective

International legal work is not a separate vocabulary. It is the same company, the same contract or the same family arrangement, read with additional connecting factors. A supply agreement may name parties in more than one country. An investor may acquire a Swedish company or Swedish land. A family may hold assets, or face succession, across a border. Governing law, jurisdiction, regulatory conditions and enforcement belong in our first conversation with a client, not in an afterthought.

We approach those questions from Sweden, with the European and international instruments that often sit beside Swedish law: Rome I on the law applicable to many commercial contracts, Brussels I recast on jurisdiction and many civil and commercial judgments within the European Union, and the New York Convention on the recognition of foreign arbitral awards. Each instrument has a defined scope, and our task is to read it against our client’s documents.

An international perspective does not depend on foreign offices. Where the decisive rule is the law of another place, we identify that issue and, where the matter requires it, consider with our client the involvement of locally qualified counsel. A Swedish starting point is often the right place to organise a file that connects several jurisdictions. Our method is to separate the issues, assign each to the legal system that governs it, and coordinate the work accordingly.

Relationships

Our Commitment to Clients

Our relationship with a client begins when the question can be stated and the papers can be read. Companies and entrepreneurs come to us with formation, governance and commercial risk. International businesses and investors come with transactions, a Swedish presence, or a dispute that already names more than one country. Families and private clients come with property, succession and personal arrangements that may be wholly Swedish or may not. For each of them our commitment is the same: a named correspondent, a careful first account, and advice that can be used to decide the next step.

We take care to understand a client’s objective without allowing the objective to rewrite the documents. We explain the realistic options, including the option of waiting, and we examine conflicts before work proceeds. Confidentiality, the scope of the assignment and the basis of fees are settled when an engagement is agreed. Our standard is a clear explanation of the legal position and a responsible assessment of what can be done.
